By engaging Technology Integrated Solutions ("TIS") or using our website at technology-is.com, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and 1001549742 Ontario Inc.
Technology Integrated Solutions provides professional cybersecurity services including penetration testing, incident response, digital forensics, dark web monitoring, virtual CISO services, compliance consulting, security architecture, and security awareness training. Services are delivered under individual engagement agreements that supplement these Terms. In the event of a conflict between these Terms and an engagement agreement, the engagement agreement governs.
All penetration testing and security assessment services require explicit written authorization from the owner of the systems being tested. By engaging TIS for penetration testing or security assessment services, you represent and warrant that: (a) You are the owner of the systems to be tested, or you have explicit written authorization from the owner; (b) You have obtained all necessary internal approvals and will provide TIS with a signed authorization letter prior to testing commencing; (c) Your engagement complies with all applicable Canadian and international laws. TIS will not commence any testing without a signed authorization document. Unauthorized testing of third-party systems is strictly prohibited and will result in immediate engagement termination.
Individual engagements are governed by a Statement of Work (SOW) or engagement agreement that specifies scope, deliverables, timeline, fees, and confidentiality terms. No engagement commences without a signed SOW. Verbal agreements are not binding. Changes to scope require written amendment.
Fees are specified in your engagement agreement. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest at the rate permitted under Ontario law. TIS reserves the right to suspend services for accounts with overdue invoices exceeding 30 days. Engagement deliverables (including final reports) may be withheld pending payment of outstanding fees.
TIS treats all client information, engagement scope, findings, and vulnerability data as strictly confidential. Our confidentiality obligations are detailed in your engagement agreement. We do not disclose client names, engagement details, or findings to third parties without your explicit written consent, except as required by Canadian law.
Engagement deliverables (reports, findings, recommendations) produced for you belong to you upon full payment of engagement fees. TIS retains ownership of its methodologies, tools, frameworks, and pre-existing intellectual property. We grant you a limited license to use deliverables for your internal security purposes.
Your use of our services and website is governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and process personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).
SERVICES ARE PROVIDED ON A PROFESSIONAL BEST-EFFORTS BASIS. TIS DOES NOT WARRANT THAT ENGAGEMENTS WILL IDENTIFY ALL VULNERABILITIES OR SECURITY ISSUES. SECURITY ASSESSMENTS REFLECT A POINT-IN-TIME EVALUATION. TIS IS NOT RESPONSIBLE FOR SECURITY INCIDENTS THAT OCCUR BEFORE, DURING, OR AFTER AN ENGAGEMENT, OR FOR ISSUES OUTSIDE THE AGREED SCOPE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUBCONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE FEES PAID BY YOU FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of our website or engagement of our services after changes take effect constitutes acceptance of the revised Terms.
